Being a role model for coal fired power plants in Thailand

In order to be a good role model for that country's coal-fired power plant We will produce electricity efficiently with the environment in mind. We will play an important role in strengthening the stability of the national power generation plan. We will stick to the two words at the heart of our work. Board of Directors

BLCP Board of Directors shall be elected by the general meeting of shareholders to carry out the Company’s business under the control of the general meeting of shareholders and subject to these Articles of Association. All directors must have qualification as prescribed by law.

BLCP shall have a maximum number of 10 directors. Each of the shareholders shall be entitled to nominate one director to serve on the Board for each 10% of the nominal value of the registered share capital of the Company held by such shareholder.

Meetings of the Board of Directors shall be held not less than two times in every year and may be called by at least two directors nominated by different shareholders.

Internal Control Policy

BLCP management recognizes that the business risk can interfere with the accomplishment of the organization’s business objectives. Hence, it has established control standards to ensure effective, efficient and proper utilization of its resources in pursuit of the Company’s objectives, with due regard for the respective interests of its shareholders, customers and the general public. The basic purpose of such control is to ensure that business is conducted in accordance with management’s general and specific directives.

BLCP control standards are to promote recognition and acceptance of management’s responsibility for the establishment and maintenance of control systems and procedures that are consistent with these standards.

BLCP’s system of internal and management control is based on the following:

  • Decentralization of Management
  • Segregation of duties and responsibilities
  • Documentation
  • Supervision and review
  • Timeliness
  • Relevance to risk
  • Minimum inter-dependence of controls

Major Policies

Code of Conduct

The clear communication of management’s expectations throughout the organization is extremely important in the control process. At the top management level, this is normally accomplished by the issuing of a Code of Conduct on topics having broad application throughout the organization.

The Code of Conduct is the foundation upon which the management control system is built and are intended for the guidance of the Company to ensure that distribution is made to all employees who need to be aware of these policies

Other Policies
The Company establishes administrative and operating policies which are both appropriate to its business and consistent with the Company’s Code of Conduct and policies, and establishes procedures for ensuring compliance with the Code of Conduct and such policies.

Management has set forth high standards for the Company and employee conduct through the Code of Conduct, and compliance programs related to subjects such as Gifts and Entertainment Policy and conflicts of interest.
